Related to Initial Adviser Charge
Financial Advisor has the meaning set forth in Section 3.6.
Legal Adviser means the properly qualified person appointed by the Trust to provide legal advice.
Amendment Closing Date means the first date that all the conditions precedent set forth in this Amendment are satisfied or waived in accordance herewith.
Legal Advisor means the officer responsible for providing legal advice to the Standards Committee. This may be the Monitoring Officer, another legally qualified officer of the authority, or someone appointed for this purpose from outside the authority.
First Amendment Closing Date has the meaning assigned to such term in the First Amendment.
Company Financial Advisor has the meaning set forth in Section 3.10.
Court appointed special advocate means a volunteer guardian ad litem appointed by the court who is responsible for: researching the background of assigned child abuse, neglect and dependency cases; representing the child's best interests; speaking for the child in all hearings, reviews and other relevant case activities; monitoring the child during the life of the case; and advocating for a safe and permanent home for the child.
Closing Fees means those fees required to be paid on the Closing Date pursuant to the Fee Letter.
Reverse Termination Fee has the meaning set forth in Section 7.02(b).
Second Amendment Closing Date has the meaning assigned to such term in the Second Amendment.
Independent Financial Advisor means an accounting, appraisal, investment banking firm or consultant to Persons engaged in Similar Businesses of nationally recognized standing that is, in the good faith judgment of the Issuer, qualified to perform the task for which it has been engaged.
Fourth Amendment Closing Date the date on which all the conditions precedent set forth in Section 3 of the Fourth Amendment shall be satisfied or waived.
Company U.S. Counsel means XxXxxxxxx Will & Xxxxx LLP, with offices located at 000 Xxxxxxx Xxxxxx, Xxx Xxxx, XX 00000-0000.
Third Amendment Closing Date has the meaning assigned to such term in the Third Amendment.
Independent Financial Adviser means an independent financial institution of international repute appointed by the Company at its own expense.

Escrow End Date has the meaning specified in the Escrow Agreement.
Advisory Firm Letter means a letter, that has been prepared by the Advisory Firm used by the Corporation in connection with the performance of its obligations under this Agreement, which states that the relevant Schedules, notices or other information to be provided by the Corporation to the Members, along with all supporting schedules and work papers, were prepared in a manner that is consistent with the terms of this Agreement and, to the extent not expressly provided in this Agreement, on a reasonable basis in light of the facts and law in existence on the date such Schedules, notices or other information were delivered by the Corporation to the Members.
Closing Transaction Expenses means the Transaction Expenses as set forth on the Closing Statement.
Purchaser Counsel has the meaning set forth in Section 6.2(a).
Closing Fee has the meaning set forth in Section 2.09(c).
Agreement End Date has the meaning specified in Section 10.1(e).
Initial LLC Agreement has the meaning set forth in the recitals to this Agreement.
Acquisition Fee means any and all fees and commissions, exclusive of Acquisition Expenses, paid by any Person to any other Person (including any fees or commissions paid by or to any Affiliate of the Company or the Advisor) in connection with making or investing in Mortgages or the purchase, development or construction of a Property, including real estate commissions, selection fees, Development Fees, Construction Fees, nonrecurring management fees, loan fees, points or any other fees of a similar nature. Excluded shall be Development Fees and Construction Fees paid to any Person not affiliated with the Sponsor in connection with the actual development and construction of a project.
Special Reimbursem*nt Date means, the special payment date established in connection with a Reimbursem*nt under Special Circ*mstances as described hereunder “Extraordinary Events and Special Circ*mstances – Reimbursem*nt Under Special Circ*mstances and Payment”.
Financial Advisors has the meaning set forth in Section 4.26.
